To do or not to do

They are now considering returning our money for the spa. They cite the reasons as us being to difficult to work with, as illustrated by the last letter we sent.   The information in the letter was just a rework of what they originaly agree to in the contract so I'm not quite sure what they are saying... that they can't do what is set forth in the contract?

Anyways, I think we have confirmed the choice that either we handle the construction, or we get our money back.

The proposal we are sending to the Franchiser

Since the franchiser is having a hard time with the construction side of things, he suggested we take it on ourselves.  So this is our proposal on that:

If we agree that you will not complete the construction phase, we would like to make a new contract as follows: 
ถ้าเราตกลงกันว่าทางคุณจะไม่เป็นฝ่ายดำเนินการเรื่องการตกแต่งร้าน ทางเราต้องการจะทำข้อตกลงในสัญญาใหม่ดังนี้

1. We will be responsible for the design and construction furnishing of the spa.                          แฟรนไชนส์ซีจะเป็นผู้รับผิดชอบเรื่องการออกแบบและตกแต่งสปาด้วยตนเอง 
2. You will be responsible for the previously mentioned services. (supplies, training, staff) แฟรนไชส์เซอร์จะเป็นผู้รับผิดชอบเรื่องการจัดเตรียมผลิตภัณฑ์ อุปกรณ์สปา การจัดหาพนักงาน และการฝึกอบรม 
 
The new break down of 1,600,000 THB will be as follows:                                                  งบประมาณการลงทุนเดิม 1,600,000 บาท จะมีรายละเอียดใหม่ดังต่อไปนี้

For Franchisor - franchise fee, systems, supplies, training, staff, and launch: 640,000 THB ส่วนของแฟรนไชส์เซอร์ ค่าธรรมเนียมแฟรนไชส์, ค่าดำเนินการด้านระบบการจัดการต่าง ๆ, ค่าจัดเตรียมผลิตภัณฑ์และเครื่องใช้ภายในร้าน, ค่าจัดการฝึกอบรมผู้จัดการร้าน, ค่าจัดหาพนักงานและ ค่าประชาสัมพันธ์การเปิดร้าน 640,000 บาท ซึ่งมีสาระสำคัญดังต่อไปนี้

1.    ยื่นคำร้องขอใบอนุญาตเปิดกิจการสปากับหน่วยงานราชการที่เกี่ยวข้องจนธุรกิจของแฟรนไชส์ซีได้รับใบอนุญาติให้ดำเนินกิจการได้ ซึ่งแฟรนไชส์ซีจะต้องได้รับใบอนุญาตดังกล่าว15 วันก่อนกำหนดการเปิดอย่างเป็นทางการของธุรกิจ ทั้งนี้แฟรนไชส์ซีจะแจ้งให้แฟรนไชส์เซอร์ทราบล่วงหน้าถึงวันเปิดอย่างเป็นทางการ

Process Spa business registration with the appropriate government agents until Franchisee receives the legal approval and certification 15 days before the business launching which Franchisee will inform Franchisor in advance 

2.    เนื่องจากความล่าช้ามากกว่า 1 เดือนของการทำงานในขั้นตอนการออกแบบและการก่อสร้างธุรกิจ หลังจากเซ็นสัญญาแฟรนไชส์เมื่อวันที่ 24 กันยายน 2550 ที่ผ่านมา เแฟรนไชส์เซอร์ต้องรับผิดชอบค่าเช่าห้องชุดหมายเลข 171/1-2 ตั้งแต่วันที่ 16 พฤศจิกายน ถึง 15 ธันวาคม 2550 (1 เดือน) เป็นจำนวนเงินทั้งสิ้น 41,960 บาท โดยจะชำระค่าเช่าจำนวนดังกล่าวเป็นเงินสดคืนแก่แฟรนไชส์ซีภายในวันที่ 16 พฤศจิกายน 2550

Due to the delay of business design and construction more than a month now, Franchisor must responsible for 1 month rent of 171/1-2 from November 16 – December 15, 2007 which is 41,960 Baht. Franchisor will pay the Franchisee in cash within November 16, 2007. 

3.    จัดเตรียมการฝึกอบรมให้แก่ผู้จัดการร้านเกี่ยวกับความรู้ของผลิตภัณฑ์และบริการต่าง ๆ รวมถึงการอบรมการบริหารธุรกิจใหักับผู้จัดการร้านให้เสร็จสิ้นภายในวันที่ 30 พฤศจิกายน 2550

Provide trainings for Spa Manager which are covered the knowledge of products, massages, treatments and the business management within November 30, 2007 

4.    จัดหาพนักงานนวดจำนวนทั้งสิ้น 5 คนให้แก่ธุรกิจของแฟรนไชส์ซี และนัดพบเพื่อสัมภาษณ์กับผู้จัดการร้านของแฟรนไชส์ซี15 วันก่อนกำหนดการเปิดอย่างเป็นทางการของธุรกิจ ทั้งนี้แฟรนไชส์ซีจะแจ้งให้แฟรนไชส์เซอร์ทราบล่วงหน้าถึงวันเปิดอย่างเป็นทางการ หลังจากได้รับความเห็นชอบและอนุมัติโดยผู้จัดการร้านของ แฟรนไชส์ซีแล้ว จึงจัดเตรียมการฝึกอบรมพนักงานดังกล่าวจนสามารถเข้าทำงานใหักับธุรกิจของแฟรนไชส์ซีได้

Provide Franchisee 5 therapists to interview 15 days before the business launching which Franchisee will inform Franchisor in advance and provide the trainings for those therapists who have been accepted by Franchisee's Spa Manager  

5.    จัดเตรียมวัสดุอุปกรณ์เกี่ยวกับสปาทั้งหมดที่ได้ตกลงกันไว้ ณ วันที่เซ็นสัญญาให้ใช้รูปแบบทางธุรกิจ (24 กันยายน 2550) โดยวัสดุและอุปกรณ์ดังกล่าวจะต้องส่งถึงธุรกิจของแฟรนไชส์ซี 7 วันก่อนกำหนดการเปิดอย่างเป็นทางการของธุรกิจ ทั้งนี้แฟรนไชส์ซีจะแจ้งให้แฟรนไชส์เซอร์ทราบล่วงหน้าถึงวันเปิดอย่างเป็นทางการ

Provide Spa equipments and materials for Franchisee as agreed on the contract signing date (September 24, 2007). All Spa equipments and materials must be delivered to Franchisee's business 7 days before the business launching which Franchisee will inform Franchisor in advance 

6.    จัดเตรียมและรับผิดชอบค่าใช้จ่ายโบรชัวร์ชุดแรกสำหรับธุรกิจชองแฟรนไชส์ซี โดยแฟรนไชส์ซีควรจะได้รับโบร์ชัวร์ดังกล่าว 15 วันหลังจากแฟรนไชส์ซีส่งมอบอาร์ตเวิร์คที่สมบูรณ์แก่แฟรนไชส์ซอร์

Franchisor will be responsible for the total expense of the first set of brochures for Franchisee's business. The mentioned brochures should be delivered to Franchisee business 15 days after Franchisee deliver the complete artwork to Franchisor

For Franchisee - design, construction, signs, furnishing: 960,000 THB                                                           สำหรับแฟรนไชส์ซี - ค่าออกแบบ, ตกแต่ง, ป้ายโฆษณาร้าน และเฟอร์นิเจอร์ 960,000บาท

All other agreements will remain the same.                                                                  ข้อตกลงอี่น ๆ ในสัญญาให้ใช้รูปแบบทางธุรกิจขอให้คงไว้ตามเดิมที่

Note: 
We fully understand it is normal that franchiser will receive a profit during the set up stages. However, we feel that in this case many of the duties of the franchiser are not being fulfilled 
Due to the fact that:

ทางเราเข้าใจว่าเป็นเรื่องปกติที่เจ้าของแฟรนไชส์ที่จะได้รับกำไรในระหว่างการจัดตั้งธุรกิจอย่างไรก็ตาม ในกรณีนี้เรารู้สึกว่าทางแฟรนไชส์เซอร์ทำหน้าที่ได้ไม่สมบูรณ์ อ้างถึงข้อเท็จจริงดังนี้

We feel like you have not fulfilled the duties of a franchiser and as such, are not entitled to a full profit.

Another delay

Talked to Andrew today.  He claimed the designer no longer wanted to work on this project for what sounded like reasons of complexity.  This means we will either take over the design and construction effort, or Andrew will try to find another designer.  Given the number of missteps on the part of the franchiser so far, I think it might be best if we handled it. Either way these delays will not be good.

Building structure effects the design

Got the confirmation from building engineer about installing septic tank under the ground. Could not take the stairs out but could knock the wall between two shops. Aromatherapy massage area will be downstair instead of mezzanine floor.

See the adjusted design and layout again on this coming Sunday. Hope it will be the better decoration.

Waiting on the building engineer

After our first look as the proposed design and layout of the spa, we felt there was still several changes needed to be made. Some of the main things we need to find out is if one of the stairs can be removed, if a doorway can be put in the wall, and if the upstairs will support a hot tub. I guess this is up to the engineer of the building which we are still waiting for.

As for the design, it needs some work and a second revision which we are now waiting on.

Interesting note on forex related issues of the business. Currently 1 USD = 33 Baht. If the Dollar continues it's downward slide, to 30 Baht to the Dollar, that would be a 10% return if the investment in the Spa was put back in to dollars. 27.5 Baht to the Dollar would be a 20% gain. On the flip side, seeing the Baht at 37, would mean a 10% loss, and 41.5 Baht to the dollar would be a 20% loss if re-buying Dollars. Side dollar slide!

Signed the lease today.

We today we signed the 3 year lease on 130 sqm (1,400 sq foot) commercial space. As my this is the first time signing I did a quick search to see if I could get any tips on signing the lease. I found these two sources of a few quick tips. "What to know before signing a commercial lease" and "Ten things you need to know.."

I think the terms sound fair. The rent is just under 42,000 baht per month. We pay phone, electric, water and the condo fee is built in. We though is was going to be a lease where the price rises 10% a year, but luckily that is not the case. The lease starts Nov 1, 2007.? and ends 3 years later.

Now the next step is for the designers to get into the room and do the measurements. After that they plan to show us the overall design.

I must say I'm a bit worried here. I know from my design experience that most design starts with thumbnail sketches to figure out the overall traffic plans. Lets go to Wikipedia to see what they have to say about the design process:

Dear Google, what do you know about the Spa business.

As a man, I know that I am not knowledgeable about spas. But as a entrepreneur and business man, I know I can find out what I need to know, and make it work - with a little help from Google.

I am reading "Enjoying your day at the Spa" on about.com. Some points:

Look for:

* Friendly, nurturing staff, from the person at the front desk to the massage therapists, estheticians, nail technicians, and make-up artists. All therapists should be licensed.

* A quiet, relaxing, well-designed environment. It will usually have soothing music, low lighting, and pleasant aromas.

* Equipment such as hydrotherapy tubs, whirlpool tubs, steam rooms, sauna, steam cabinets, Vichy shower, etc.

I think one thing to do is communicate with photos - it really breaks the communication gap that usually happens in discussing ideas. Buy culling the web for photos, I've got a little web album going where we can discuss and comment on different spa styles and decorations. Thanks Picassa.

More on the location

Well the first payment check has been made and it's time to focus in on what is going to be needed in the design.

The space is just off the road, but only slightly visible by passers by. It will, however, be visible to the occupants of the 1,092 unit condo complex when walking or driving by. We are expecting a large draw from the residents where the minimum rent is 12,000 bath/month for a 35 sq/m condo.

Today we signed the contract

After a weekend of though and discussion, we finally signed the contract with the Franchiser. We have officially decided to get into the Spa business! I must admit, it all happened a bit fast for my liking, but what better way to get things done... then to just go for it.

We signed the contract, but unfortunately, we forgot to bring the checkbook along and when the time came to pay our first installment payment of 640,000 Baht, we were not able to. This I don't mind so much, because it's always better to make them wait for payment. The longer they wait the more you retain control.

I will describe the Spa, myself, my girlfriend and partner more in the coming weeks and months. But tonight I am exhausted and have an early flight tomorrow.

Anyway, we did it and we are officially on our way.
